Approval of the Offer Document

Unipol Gruppo S.p.A. (the “Offeror”) hereby announces that the Commissione Nazionale per le Società e la Borsa (“CONSOB”), by resolution dated 27 March 2024, no. 23052, pursuant to Article 102, paragraph 4, of Legislative Decree no. 58 of 24 February 1998 (the “TUF”), approved the offer document (the “Offer Document”) related to the voluntary tender offer (the “Offer”) promoted by the Offeror, pursuant to Article 102, paragraph 1 of the TUF, on all the ordinary shares (the “Shares”) of UnipolSai Assicurazioni S.p.A. (“UnipolSai” or the “Issuer”), other than those already held, directly and indirectly, by the Offeror and the treasury Shares held, directly and indirectly, by UnipolSai.
