CODE OF CORPORATE GOVERNANCE
The UGF Code of Corporate Governance was adopted on 10 May 2007.
UGF intends this document to clearly define roles and responsibilities for the execution of its business strategies and activities as well as the composition and functions of the corporate structures responsible for governance of the Parent Company and the operational business in the Group; in particular, it gives a precise description of the composition, role and operating procedures for the committees, whilst for individual positions the nomination rules and the role are described.
The Company's revised Code of Corporate Governance also provides for the establishment of a Corporate Responsibility Committee within the Board of Directors as a point of reference for all activities conducted in this area by Unipol Gruppo Finanziario.
