CHARTER OF VALUES AND CODE OF ETHICS

 


 
 
The Charter of Values, which was approved by UGF's Board of Directors on 11 December 2008, is the result of a huge collective effort. All the employees of the companies in the Group and representatives of agents had a hand in drafting it over a period of eight months, a total of more than 6,000 individuals.


The five principles that were identified and to which we are fully committed are:
Accessibility, Looking ahead, Respect, Solidarity and Responsibility.


The Group's Charter of Values also served as the basis for reviewing and updating the Code of Ethics, which was approved by UGF's Board of Directors on 19 March 2009 and describes and summarises the values of the organisation and the procedures for applying them.


The Code of Ethics applies in all the companies in the Group and the people to whom it is addressed are all those who have an influence on or are influenced by Group business activities, direct or indirectly: investors, directors, employees, agents, consultants, customers, suppliers, the Community in general and future generations.


The work of promoting and ensuring compliance with the Code of Ethics is entrusted to the Committee for Social Responsibility, which also acts as the Ethics Committee. It is made up of three members of the Board of Directors:  Francesco Vella as Chairman, Pier Luigi Celli and Marco Venturi.


The post of Head of Ethics, it too expressly provided for by the Code of Ethics, is entrusted to Walter Dondi, Head of Corporate Social Responsibility and Ethics, appointed to the role of Head of Ethics by UGF's Board of Directors on 14 May 2009.


The Head of Ethics may be asked to provide information on and/or clarification of the contents of the Code and informed of any alleged infringements of the provisions of the Code of Ethics.


In order that they can be properly considered no anonymous reports are accepted. Likewise, as laid down in the Code, complete confidentiality will be maintained.


Response times are expressly laid down in the Code of Ethics.
